Welcome to Araati, an online marketplace owned and operated by AMASH FOODS SERVICES UG LTD ("Araati", "we", "our", or "us").

These Terms & Conditions ("Terms") govern your access to and use of the Araati website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Eligibility

To use Araati, you must:

• Be at least 18 years of age, or use the Platform under the supervision of a parent or legal guardian.

• Have the legal capacity to enter into a binding agreement.

• Provide accurate, current, and complete information when creating an account.

2. About Araati

Araati is an online marketplace that enables independent sellers to list and sell products to customers. Unless expressly stated otherwise, Araati is not the seller, manufacturer, importer, distributor, or owner of products listed by third-party sellers.

Each seller is solely responsible for the products they list, including product descriptions, pricing, quality, safety, warranties, legality, and fulfillment.

3. User Accounts

When creating an account, you agree to:

• Keep your login credentials confidential.

• Be responsible for all activities conducted through your account.

• Notify Araati immediately of any unauthorized use or security breach.

• Maintain accurate and up-to-date account information.

Araati reserves the right to suspend or terminate accounts that violate these Terms or applicable laws.

4. Orders and Acceptance

Placing an order on Araati constitutes an offer to purchase a product.

An order is considered accepted only after the seller confirms it. Sellers reserve the right to reject or cancel orders due to:

• Product unavailability.

• Pricing or listing errors.

• Suspected fraud or unauthorized transactions.

• Violation of these Terms.

• Circumstances beyond the seller's reasonable control.

If payment has already been made for a cancelled order, an appropriate refund will be issued.

5. Pricing and Payments

Product prices are displayed in the applicable currency unless otherwise stated.

Customers agree to pay:

• The purchase price.

• Applicable shipping charges.

• Taxes or government charges where required.

Accepted payment methods may include:

• Mobile Money

• Debit and credit cards

• Bank transfers

• Other payment methods supported by Araati

Payments must be completed before an order is processed unless Cash on Delivery is offered for the selected order.

6. Shipping and Delivery

Shipping and delivery are governed by Araati's Shipping Policy.

Estimated delivery times are provided for convenience and are not guaranteed. Delays may occur due to circumstances beyond the reasonable control of Araati, sellers, or logistics providers.

Risk of loss passes to the customer upon successful delivery.

7. Returns and Refunds

Returns and refunds are governed by Araati's Return & Refund Policy.

Customers must follow the procedures outlined in that policy when requesting a return, replacement, or refund.

8. User Conduct

Users agree not to:

• Violate any applicable laws or regulations.

• Use the Platform for fraudulent or unlawful purposes.

• Interfere with the operation or security of the Platform.

• Upload malicious software or harmful code.

• Infringe the intellectual property rights of others.

• Create multiple accounts for abusive or deceptive purposes.

• Misrepresent products, identities, or transactions.

• Abuse customer support or other users.

9. Seller Responsibilities

Sellers using Araati agree to:

• Provide accurate product information.

• Maintain sufficient inventory where applicable.

• Fulfill accepted orders promptly.

• Package products securely.

• Comply with applicable laws and regulations.

• Honor approved returns and refunds.

• Maintain valid business and payment information.

Araati reserves the right to suspend or terminate seller accounts that violate these Terms or Seller Policies.

10. Intellectual Property

All content on the Platform, including but not limited to:

• Logos

• Trademarks

• Software

• Designs

• Images

• Text

• Graphics

• Icons

• Databases

is owned by or licensed to AMASH FOODS SERVICES UG LTD unless otherwise stated and is protected by applicable intellectual property laws.

Users may not reproduce, distribute, modify, or exploit Platform content without prior written permission.

11. User Content

By submitting reviews, comments, photographs, or other content to Araati, you grant Araati a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, modify, and distribute that content for the operation, promotion, and improvement of the Platform.

You represent that you own or have the necessary rights to submit such content.

12. Prohibited Products

Sellers may not list products that are illegal or prohibited under applicable law or Araati policies, including products that:

• Infringe intellectual property rights.

• Are counterfeit or stolen.

• Are unsafe or recalled.

• Are prohibited by Ugandan law.

• Promote illegal activities.

Araati may remove prohibited listings without prior notice.

13. Limitation of Liability

To the fullest extent permitted by law:

• Araati provides the Platform on an "as is" and "as available" basis.

• Araati does not guarantee uninterrupted or error-free operation.

• Araati is not responsible for the acts, omissions, products, or services of independent sellers.

AMASH FOODS SERVICES UG LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

14. Indemnification

You agree to indemnify and hold harmless AMASH FOODS SERVICES UG LTD, its directors, officers, employees, agents, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Platform.

• Your breach of these Terms.

• Your violation of applicable laws.

• Your infringement of third-party rights.

15. Suspension and Termination

Araati may suspend or terminate your account without prior notice if you:

• Violate these Terms.

• Engage in fraudulent activity.

• Abuse the Platform.

• Create security risks.

• Breach applicable laws or Araati policies.

Termination does not affect obligations or rights that accrued before termination.

16. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information.

17. Changes to These Terms

Araati may modify these Terms from time to time. Updated Terms will be posted on the Platform with a revised Effective Date.

Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Uganda.

The parties agree to make reasonable efforts to resolve disputes through good-faith negotiations before pursuing legal proceedings. If a dispute cannot be resolved amicably, it shall be submitted to the courts of competent jurisdiction in Uganda.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Return & Refund Policy, Seller Agreement, and any other applicable policies published by Araati, constitute the entire agreement between you and AMASH FOODS SERVICES UG LTD regarding your use of the Platform.
